INDEPENDENT SALES CONSULTANT AGREEMENT
This Agreement is entered into as of the date of use, by and between Starzynski Van Der Jagt P.C., a Colorado professional corporation (the "Firm"), and the Consultant Advisor, an independent contractor (the "Certified Advisor", "Consultant" and "Student").
1. Purpose and Appointment
The Firm hereby appoints the Consultant as an Independent Sales Consultant authorized to conduct qualified client intake for the Firm’s legal services. The Consultant is not an employee, partner, agent, or representative of the Firm but an independent contractor pursuant to this Agreement and subject to its terms and conditions.
2. Compensation for Services Rendered
The Consultant shall be entitled to compensation equal to ten percent (10%) of the total amount paid by the client to the Firm, provided that:
- - The Consultant facilitated the full intake process, and the client retained the Firm's services as a result of the Consultant’s qualified efforts.
- - The client has paid for legal services in full.
- - Legal services have been fully rendered by the Firm.
This payment is not a commission, referral fee, or bonus. It is compensation for value-added services delivered by the Consultant in the form of successful client intake and engagement facilitation.
3. Minimum Performance Requirements
To remain in good standing and maintain active certification as a Consultant:
- - The Consultant must successfully complete a minimum of two (2) new client intakes per calendar year that result in signed engagement and payment to the Firm.
- - The Consultant must annually complete the Firm’s Continuing Education Course, provided by Starzynski Van Der Jagt P.C., to maintain knowledge of current protocols, policies, and legal updates relevant to client onboarding and legal service scope.
Failure to meet either requirement may result in immediate suspension or revocation of the Consultant's certification and termination of this Agreement.
4. Non-Circumvention and Exclusivity
As a condition of active status:
- - The Consultant shall not send potential clients, leads, or inquiries to any other law firm or legal service provider.
- - Any violation of this provision shall be considered a material breach of this Agreement, and subject the Consultant to termination without compensation for pending or future engagements.
5. Independent Contractor Status
The Consultant acknowledges and agrees that they are an independent contractor for all purposes and shall:
- - Receive a Form 1099 for any compensation paid.
- - Be responsible for all taxes, insurance, and benefits related to their work.
- - Have no authority to bind or act on behalf of the Firm in any legal, financial, or contractual manner.
6. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to this Agreement, including its breach, termination, enforcement, interpretation, or validity, shall be resolved exclusively through binding arbitration administered by www.ContractArbitration.us. The place of arbitration shall be Colorado, and the arbitration shall be conducted in English.
7. Term and Termination
This Agreement shall remain in effect until terminated by either party with or without cause, provided written notice is delivered. Termination shall not affect compensation due for completed engagements in which the client has paid and services have been fully rendered before the effective date of termination.
8. Miscellaneous
- - Entire Agreement: This Agreement contains the full understanding of the parties and supersedes all prior discussions or agreements.
- - Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado.
- - Amendments: Any modifications must be in writing and signed by both parties.
BY ENROLLING IN THE COURSE, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD THIS PRIVACY AGREEMENT AND AGREE TO THESE TERMS AND CONDITIONS.
